These Terms of Service ("Terms") govern access to and use of the ProcFlow software platform, including the mobile application and web dashboard ("Software"), provided by SMR Solutions B.V., registered in the Netherlands ("SMR Solutions", "we", "us").
By downloading, accessing, or using the Software, you agree to these Terms. If you are using the Software on behalf of an organisation, you confirm you are authorised to accept these Terms on that organisation's behalf.
The Software is intended for use by employees, contractors, and authorised personnel of organisations that have a valid subscription or licensing agreement with SMR Solutions (each a "Customer"). Access is provided only to users invited or provisioned by a Customer's administrator.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify your organisation's administrator immediately if you suspect unauthorised access.

Where a Customer operates the Software on its own infrastructure (self-hosted / on-premise deployment), the Customer is solely responsible for the security, availability, and maintenance of that infrastructure. SMR Solutions' obligations with respect to such deployments are limited to those set out in the applicable licensing or trial agreement between SMR Solutions and the Customer.
The Software, including its source code, design, and branding, is and remains the exclusive property of SMR Solutions B.V. Nothing in these Terms transfers any intellectual property rights to you or to any Customer, except as expressly granted under a separate licensing agreement.
Operational data entered into the Software by a Customer (procedures, work orders, incident records, and similar) belongs to that Customer. Handling of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement between SMR Solutions and the Customer.
For hosted (SaaS) deployments, SMR Solutions targets high availability but does not guarantee uninterrupted access. Specific service levels, if any, are set out in the applicable agreement with your organisation. For self-hosted deployments, availability depends on the Customer's own infrastructure.
The Software is provided "as is" and "as available". SMR Solutions makes no warranty that the Software will be error-free or that defects will be corrected, except as expressly agreed in a separate written agreement with the Customer.
To the maximum extent permitted by law, SMR Solutions shall not be liable for any indirect, incidental, or consequential damages arising from use of the Software. Liability caps and exclusions applicable to a specific Customer are governed by that Customer's licensing or trial agreement with SMR Solutions.
Access to the Software may be suspended or terminated if these Terms are violated, or upon termination of the underlying agreement between SMR Solutions and your organisation.
We may update these Terms from time to time. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Noord-Holland, Netherlands.
